Terms of Service

Last Updated: September 21, 2026

Welcome to Invest with Matt LLC. These Terms of Service ("Terms") govern your access to and use of our websites, including investingwithmatt.com, smartmoneyincomegroup.com, and any subdomains, and all content, products, and services offered by Invest with Matt LLC under any of its brands, including Invest with Matt and Smart Money Income. This includes all courses, rulebooks, trade alerts, smart money data alerts, Discord channels, Whop communities, live calls, recorded calls, mentorship and coaching programs, portfolio reviews, onboarding calls, email newsletters, calculators and tools, paper trading programs, and any other educational materials or services we provide, collectively referred to as the "Service." Smart Money Income is a brand and program of Invest with Matt LLC and is not a separate legal entity.

By purchasing, subscribing to, accessing, or using any part of the Service, you agree to be bound by these Terms and to our Privacy Policy and Earnings Claims Disclosure, which are incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements. The Service is intended for use by residents of the United States. If you access the Service from outside the United States, you are responsible for compliance with your local laws, and we make no representation that the Service is appropriate or available in your location.

2. Nature of the Service: Education Only

Invest with Matt LLC is an educational publisher. We are not a registered investment adviser, broker-dealer, commodity trading advisor, financial planner, or tax or legal professional, and we are not registered with the Securities and Exchange Commission, FINRA, or any state securities regulator. Nothing in the Service constitutes investment, financial, tax, accounting, or legal advice, and nothing is a recommendation, solicitation, or offer to buy or sell any security, option, or other financial instrument.

All content is impersonal and is provided to our audience as a whole. We do not know your individual financial situation, objectives, or risk tolerance, and we do not provide individualized advice. This applies to every part of the Service, including live calls, one-on-one onboarding calls, portfolio reviews, question-and-answer sessions, Discord messages, direct messages, emails, and any conversation with Matt or any representative of the Company. Any discussion of your existing holdings during a portfolio review or onboarding call is an educational exercise in applying our published rules and is not a recommendation to buy, sell, or hold any position. Any decision to trade or invest is yours alone.

You should consult a licensed financial adviser, tax professional, and attorney before making any investment decision.

3. Investment and Options Risk Disclosure

Investing in stocks, exchange-traded funds, options, and other securities involves substantial risk of loss and is not suitable for every investor. You may lose some or all of the money you invest.

Options carry additional risk. Before trading options you should read "Characteristics and Risks of Standardized Options," published by The Options Clearing Corporation, available from your broker or at theocc.com. Selling a cash-secured put obligates you to purchase shares at the strike price if assigned, regardless of how far the market price has fallen, and the shares you acquire may continue to decline in value. Selling covered calls caps your upside and does not protect you from losses in the underlying shares. Options can expire worthless, liquidity can be limited, assignment can occur at any time before expiration for American-style options, and brokerage approval levels, margin requirements, and account types may limit your ability to use the strategies discussed.

Strategies discussed in the Service, including the Weekly Character Change approach, stage analysis, cash-secured put selling, covered calls, position sizing rules, cash allocation rules, and any ETF or index approach, are educational frameworks. They can and do produce losses. No strategy, rule set, indicator, checklist, or data source eliminates risk or guarantees any result.

4. Smart Money Data and Third-Party Information

Portions of the Service present information about institutional holdings, corporate insider transactions, congressional trade disclosures, unusual options activity, dark pool prints, and similar data (collectively, "Smart Money Data"). This data is sourced from public filings and third-party data providers. We do not verify it independently, and we do not guarantee its accuracy, completeness, or timeliness. Public filings are reported with delays, sometimes of several weeks, and the persons or institutions involved may have changed their positions before the information becomes public. Dark pool and options activity data does not reveal the intent or direction of the underlying trades.

Smart Money Data is presented as general information and as one input into an educational research process. It is not a trade signal, a recommendation, or a prediction, and following any disclosed trade may result in losses. We do not have, seek, or share any material non-public information. Any reference to an individual whose trades are publicly disclosed, including members of Congress, corporate executives, or fund managers, is a reference to public records only and does not imply any endorsement, affiliation, or wrongdoing.

5. Alerts, Trade Ideas, and Matt's Own Trades

Trade alerts, trade ideas, model portfolio entries, proof account updates, and disclosures of Matt's personal positions are shared for educational and transparency purposes only. They describe what Matt or the Company is doing or considering in its own accounts or in a hypothetical model, and they are not recommendations for your account. Matt and the Company may hold, buy, or sell any security discussed at any time, before or after it is discussed, without notice. Alerts may be delayed, may be incomplete, and may not be followed by an exit alert. You are solely responsible for every decision in your own account.

6. Hypothetical, Paper, and Illustrative Results

The Service may include paper trading programs, model portfolios, calculators, and per-trade illustrations showing what a described trade would pay at various account sizes. All such results are hypothetical. Hypothetical results have inherent limitations. They do not reflect actual trading, do not account for slippage, commissions, fees, taxes, liquidity, or the impact of emotion and financial risk on real decisions, and are prepared with the benefit of hindsight. No representation is made that any account will or is likely to achieve results similar to those shown. Any figure shown for a single trade describes that trade only and must not be extrapolated into a monthly, annual, or portfolio return.

7. Accuracy of Information

We work to provide accurate and current information but do not guarantee the reliability, completeness, or currency of any content. Market data, prices, and quotes shown in the Service may be delayed or inaccurate. All content should be independently verified. We are not liable for errors, omissions, or delays in any content or for any action taken in reliance on it.

8. Access, Accounts, and License

8.1 License. Upon purchase you receive a limited, personal, non-exclusive, non-transferable, revocable license to access the content you purchased for your own personal, non-commercial use. No ownership is transferred.

8.2 Registration and security. You may need accounts with us and with third-party platforms we use, including Whop, Discord, and our email and scheduling providers. You agree to provide accurate information, keep your credentials confidential, and notify us promptly of any unauthorized use. You are responsible for all activity under your accounts.

8.3 Single user. Access is granted to one named individual. Sharing logins, screenshots, recordings, alerts, or materials with any other person, group, or platform is prohibited and will result in termination without refund.

8.4 Third-party platforms. Parts of the Service are delivered through third-party platforms that have their own terms and may change or become unavailable. We are not responsible for their availability, conduct, or policies.

8.5 Changes to the Service. We may change, update, add, suspend, or discontinue any part of the Service, including the content of any program, the schedule or format of live calls, the availability of alerts or data channels, and the rules or strategies taught, at our discretion. We will give reasonable notice when practical.

9. Programs, Fees, Payment, and Renewal

9.1 Fees. Prices, terms, and inclusions for each program are stated at checkout and may change for future purchasers at any time.

9.2 Payment plans. If you select a payment plan, you agree to pay every installment on schedule. A payment plan is a financing arrangement for the full program price, not a month-to-month subscription. If an installment fails, we may suspend access until payment is made, and the remaining balance stays due in full. Unpaid balances may be referred to collections, and you agree to pay reasonable collection costs and fees.

9.3 Automatic renewal. Subscriptions and annual memberships renew automatically at the end of each term at the then-current price for your plan unless you cancel before the renewal date. The renewal price and term are disclosed at checkout. You may cancel renewal at any time through your Whop account or by emailing us before the renewal date. Cancellation stops future renewals and does not refund the current term.

9.4 Chargebacks. If you dispute a valid charge with your card issuer instead of contacting us, we may terminate your access and pursue the amount owed.

9.5 Taxes. Prices exclude any applicable taxes, which are your responsibility.

10. Refund Policy

Because the Service provides immediate access to digital content, live sessions, and community resources, all sales are final and non-refundable, including the unpaid balance of any payment plan, except where a written refund term is stated at checkout for a specific program or where required by law. Removal or suspension for violation of these Terms does not entitle you to a refund.

11. Live Calls, Coaching, and Community

11.1 Scheduling. Live calls, onboarding calls, and reviews are offered at scheduled times. We may reschedule with notice. Missed appointments may be forfeited. Replays may be provided at our discretion.

11.2 Recording. Live sessions and calls may be recorded and shared with current or future members. By participating you consent to being recorded and to our use of the recording within the Service. Do not share information on a call that you want to keep private.

11.3 Seat limits. Some programs are limited in size. Access is subject to availability and our acceptance of your application.

11.4 Applications. We may require an application before admitting you to a program and may decline any application at our discretion.

11.5 Community conduct. You agree not to: post or share content that is unlawful, harassing, defamatory, or infringing; solicit, advertise, or promote any competing service, product, or investment; share or solicit personal financial information; provide investment advice to other members; impersonate anyone; post spam; attempt to interfere with the security or operation of the Service; or copy, scrape, record, or redistribute any content. Other members' posts are their own opinions and are not endorsed by us. You are responsible for your interactions with other members, and we are not obligated to mediate disputes.

12. Testimonials, Reviews, and Interviews

If you provide a review, testimonial, or interview, or you consent to our use of your comments, you grant us a perpetual, royalty-free license to use your name (or first name and initial), likeness, voice, and statements in our marketing across any medium. You represent that your statements are truthful and describe your own experience. You may ask us to stop using new marketing that includes your testimonial by emailing us, and we will comply within a reasonable time for materials we control. Results described in testimonials are individual experiences and are not typical.

13. Intellectual Property

All content in the Service, including the Weekly Character Change rulebook, checklists, indicators, calculators, videos, scripts, templates, course materials, alerts, and the names, logos, and trade dress of Invest with Matt and Smart Money Income, is owned by Invest with Matt LLC or its licensors and is protected by copyright, trademark, and other laws. You may not copy, reproduce, distribute, publicly display, create derivative works from, resell, teach, or commercially exploit any of it without our written permission.

Content you post in our community remains yours, but you grant us a worldwide, royalty-free license to use, reproduce, and display it as part of operating and promoting the Service. Suggestions and feedback you provide may be used without obligation or compensation.

14. Communications

By providing your email address or phone number you agree to receive communications from us about the Service, including educational content, alerts, reminders, and marketing. Message and data rates may apply to text messages. You may opt out of marketing emails using the unsubscribe link and of text messages by replying STOP. Transactional messages related to your purchases may continue.

15. Third-Party Websites and Tools

The Service may link to or rely on third-party websites, brokers, data providers, and tools. We do not control them and are not responsible for their content, accuracy, availability, or practices. Your use of any broker or trading platform is governed by that provider's agreement.

16. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any strategy, alert, data, or content will produce any result.

17. Limitation of Liability

To the fullest extent permitted by law, Invest with Matt LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any trading or investment losses, lost profits, lost income, or lost data, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages. Our total aggregate liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless Invest with Matt LLC and its owners, officers, employees, contractors, affiliates, and service providers from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your investment decisions, your violation of these Terms, or your violation of any law or third-party right.

19. Termination

We may suspend or terminate your access at any time, with or without notice, for violation of these Terms, for conduct we consider harmful to other members or to the Company, or for non-payment. Termination does not entitle you to a refund. Sections 2 through 7 and 12 through 21 survive termination.

20. Dispute Resolution

20.1 Informal resolution. Before filing any claim, you agree to email us a written description of the dispute and to work with us in good faith for 30 days to resolve it.

20.2 Governing law and venue. These Terms are governed by the laws of the State of New York without regard to conflict-of-law rules. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in New York, and you consent to their jurisdiction. [Attorney to consider whether to add binding arbitration and a class action waiver.]

20.3 Time limit. Any claim arising from the Service must be filed within one year after it arises or it is permanently barred.

21. General

21.1 Changes to these Terms. We may revise these Terms at any time. We will post the revised Terms with a new "Last Updated" date and, for material changes, notify you by email or through the Service. Continued use after the effective date constitutes acceptance.

21.2 Entire agreement. These Terms, together with the Privacy Policy, the Earnings Claims Disclosure, and any program-specific terms presented at checkout, are the entire agreement between you and us regarding the Service. If program-specific terms conflict with these Terms, the program-specific terms govern for that program.

21.3 No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

21.4 Severability. If any provision is held invalid, the remainder stays in effect.

21.5 Assignment. You may not assign these Terms. We may assign them in connection with a merger, sale, or reorganization.

21.6 No professional relationship. Nothing in the Service creates a fiduciary, advisory, or client relationship between you and the Company or Matt.
